Agreement to Terms

These Terms of Service ("Terms") govern your use of ProntoMM.com and any services provided by Pronto Media & Marketing LLC ("Pronto", "we", "us", or "our"). By visiting our website, submitting a contact form, or engaging our services, you agree to these Terms in full.

If you do not agree with any part of these Terms, please do not use our website or services.

Our Services

Pronto Media & Marketing LLC provides web design, hosting, digital marketing, and related services to local businesses. Our services include but are not limited to:

Specific service terms, pricing, and deliverables are outlined in the individual service agreement provided to each client prior to engagement.

Demo Sites

As part of our prospecting process, Pronto may build demonstration websites ("demo sites") for local businesses using publicly available information including business name, address, phone number, hours, photos, and reviews sourced from Google Maps, Google Business Profile, or similar public directories.

Demo sites are built without obligation and are intended solely to demonstrate the value of our services to the business they represent. Demo sites are not live commercial websites and are clearly marked as demonstrations.

If you are a business owner and would like your demo site removed, contact us at mark@prontomm.com and we will remove it within 2 business days at no charge.

Payment Terms

All monthly service fees are billed on the date established at signup and are due upon receipt. Accepted payment methods will be outlined in your service agreement.

⚠️ If payment is not received within seven (7) days of the due date, Pronto reserves the right to suspend your website and related services without further notice. Service will be restored within 24 hours of payment received.

All one-time setup fees are non-refundable once work has commenced. Monthly fees are non-refundable for the current billing period upon cancellation.

Ongoing Service, Ownership & Handover

Website service is provided on an ongoing, month-to-month basis. Your monthly fee covers continued hosting, security, maintenance, updates, analytics, and support for as long as your site remains active with Pronto. It is not a fixed-term or installment plan, and it does not end automatically after any set period. Reaching the twelve (12) month mark described below makes handover available on request — it does not end your service or reduce your fee.

For clients whose domain is registered by Pronto as part of their service package, the domain and hosting account remain the property of Pronto Media & Marketing LLC until the client has maintained an active paid account in good standing for a minimum of twelve (12) consecutive months.

After twelve (12) consecutive months of active paid service, clients may request, with thirty (30) days written notice and at no additional charge:

Clients who provide their own domain will likewise receive all site files on request after twelve (12) consecutive months.

Receiving your site files and domain does not include continued hosting, maintenance, or support. To keep your website live and cared for, an active plan is required. Pronto's proprietary tools, dashboards, analytics accounts, and any third-party accounts or licenses are not included in a handover.

Clients who wish to exit before twelve (12) months may purchase full site ownership — including domain transfer, all site files, and thirty (30) days of transition support — for a one-time buyout fee outlined in their individual service agreement.

Cancellation Policy

Either party may cancel services with thirty (30) days written notice sent to mark@prontomm.com. Upon cancellation:

Pronto reserves the right to terminate services immediately for violation of these Terms, abusive conduct toward staff, or non-payment.

Client Responsibilities

By engaging Pronto's services, you agree to:

Intellectual Property

Upon full payment of all fees owed and completion of any applicable ownership transfer period, you own the content and design of your website. Pronto retains the right to display your completed website in our portfolio and marketing materials unless you request otherwise in writing.

Any custom code, frameworks, or proprietary tools developed by Pronto remain the property of Pronto and may be reused across client projects. This does not affect your ownership of your own website's content and visual design.

Limitation of Liability

Pronto Media & Marketing LLC shall not be liable for any indirect, incidental, or consequential damages arising from use of our services, including but not limited to lost revenue, lost customers, or business interruption resulting from website downtime, hosting issues, or service suspension due to non-payment.

Our total liability to any client shall not exceed the total amount paid to Pronto in the three (3) months preceding the claim.

Governing Law

These Terms are governed by the laws of the State of North Carolina. Any disputes arising under these Terms shall be resolved in the courts of North Carolina, and both parties consent to jurisdiction there.

Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date at the top of this page and notify active clients by email. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
